These Terms are between you and Puranjay Infosol Pvt Ltd (CIN: U74999WB2018PTC226798, GSTIN: 19AAJCP9590J1ZJ), registered at 302A, Raja Rammohan Roy Rd, Sukanta Pally, Sarada Pally, Kolkata, West Bengal, India, which operates C‑Quence and Nova. They govern your use of the C‑Quence website and, together with your signed proposal or service agreement, the services we provide ("Services"), including Nova white‑label e‑commerce websites and apps. By using this website or engaging our Services, you agree to these Terms.
C‑Quence provides productised software services: we configure, brand, launch and maintain business applications (currently Nova, our e‑commerce product) for your business under your brand. Specific scope, timelines and pricing are set out in your proposal or order form, which prevails over these Terms if they conflict.
Customer payments on your storefront are processed through your own payment gateway account (e.g. Razorpay) under your KYC. Funds settle directly to your bank account. C‑Quence never collects, aggregates or holds your customers' payments and is not a party to transactions between you and your customers.
Your business data — products, orders, customers, invoices — belongs to you. On termination, we will provide an export in standard formats (Excel/CSV) within 30 days of request, after which we may delete your data from active systems except where retention is required by law. Our handling of personal data is described in our Privacy Policy.
We aim for high availability and prompt support during business hours (IST), with specific targets set out in your service agreement. Planned maintenance will be notified in advance where practical. The Services depend on third‑party infrastructure (hosting, payment gateways, app stores, telecom networks) whose outages are outside our control.
We warrant that the Services will be provided with reasonable skill and care. Except as expressly stated, the Services are provided "as is". We do not guarantee sales, traffic, search rankings or app store approval timelines (Apple and Google apply their own policies, including Apple's requirement that template‑based client apps be published from the client's own developer account). Nothing on this website is legal, tax or financial advice; consult your CA or advisor for compliance decisions.
To the maximum extent permitted by law, C‑Quence's total aggregate liability arising out of or relating to the Services in any 12‑month period is limited to the fees paid by you to C‑Quence in that period, and neither party is liable for indirect, incidental or consequential losses, including loss of profits or data (except for our obligations under data protection law and your payment obligations).
Either party may terminate the maintenance subscription with 30 days' written notice. We may terminate immediately for non‑payment beyond the grace period, unlawful use, or material breach. Setup fees are governed by the Refund Policy.
These Terms are governed by the laws of India. Courts at Kolkata, West Bengal have exclusive jurisdiction, subject to any arbitration clause in your service agreement.
